'Office' is a position as either director or company secretary of a company.

What does this officer resignation letter template include?

Key content: This officer resignation letter template requires the entity or individual to acknowledge and confirm that they have no claims for compensation or otherwise against a company in connection with their resignation and, if they did have such claims, that they agree to give them up or 'waive' them.

The officer resignation letter template also confirms the jurisdiction that claims will be brought in if there is any dispute about the resignation.

Signed as a deed: This officer resignation letter should be signed as a deed which means, in the case of a company, by two directors, one director and a secretary (if appointed) or one director in the presence of a witness and, in the case of an individual, by that individual in presence of an independent witness.

Why do I need to use this officer resignation letter template?

Get it in writing: There's no legal requirement for a director or secretary to provide a resignation letter at all or in any specified format when they decide or agree to resign from office, however, a company's articles of association may require this and, in any case, it's sensible for a company to ask for it as it mitigates the risk of any claims later being brought against it.

Not a settlement agreement: If a company has agreed to pay a director or secretary any sum in connection with their loss of office, or the termination of their related employment by the company, a separate settlement agreement should be entered into to ensure that any employment claims they may have are also waived.

What else do you need to do to effectively resign as an officer?

Once a director or secretary resigns from office, Companies House must be notified within 14 days of such date either using Form TM01 (for a director) or Form TM02 (for a secretary) or, if they are a director and a company secretary, both forms.
