What is this statutory books template?
The basics: Running a company involves keeping certain company records and making the correct filings at Companies House. This template is designed for companies with share capital and helps you create a register of members and optional internal records for officers, PSCs, share allotments and share transfers.
Economic Crime and Corporate Transparency Act 2023: From 18 November 2025, companies no longer need to hold registers of directors, directors' residential addresses, secretaries, and people with significant control (PSCs). Companies must still register that information with Companies House and keep it up to date. Directors and PSCs are also subject to identity verification requirements. This template can be used as an internal working record for those details, but it does not replace Companies House filings, confirmation statements or identity verification obligations.

- Register of members (shareholders) - including the names and addresses of shareholders, the dates that they became shareholders, the dates that they ceased to be shareholders, the number and class of shares held by them and the amount paid or agreed to be paid by them for those shares.
- Internal register of directors - including details of current and former directors that may help the company reconcile its internal records with Companies House filings.
- Internal register of directors' residential addresses - for companies that choose to keep a confidential internal record of directors' residential addresses for administration purposes.
- Internal register of secretaries - for companies that have, or previously had, a company secretary and want an internal record of secretary details.
- Internal register of persons with significant control - for details of PSCs and registrable relevant legal entities. A PSC is someone who owns or controls your company. They are sometimes called 'beneficial owners'. The most common conditions for being a PSC are holding: (i) more than 25% of shares in the company; (ii) more than 25% of voting rights in the company; or (iii) the right to appoint or remove the majority of the board of directors.
When should I use this statutory books template?
Use this template to maintain the company's register of members and to keep useful internal working records for corporate administration, due diligence, investment rounds or sale processes. The public register at Companies House should be checked and updated separately, because Companies House filings remain the official reporting route for officer and PSC information.
