Webinar Recap: Navigating SaaS Contracts and IP Protection - Essential Tips for Tech Entrepreneurs

In September, we hosted a highly insightful webinar titled "Navigating SaaS Contracts and IP Protection: Essential Tips for Tech Entrepreneurs." Led by our legal experts, Ashleigh Evans (Legal Counsel at Docue UK) and Heather Stark (Head of Legal at Docue UK), the session provided invaluable guidance on crucial legal aspects of SaaS agreements and intellectual property protection.

Key highlights from the webinar

1. The importance of written SaaS Agreements:

  • Understanding SaaS Agreements: Our experts explained the role of SaaS agreements in governing the use of cloud-based software services between a provider and their customers. These contracts help manage expectations and protect businesses.

  • Key clauses to include: Ashleigh walked attendees through critical clauses to include in their agreements, such as scope of service, pricing models, right to use, warranties and limitations.

  • Liability protection: The webinar delved into how to structure liability clauses, set liability caps and exclude certain heads of loss to minimise potential risks.

2. Protecting your intellectual property (IP) with SaaS Agreements:

  • Clarifying IP ownership: Attendees learned how to safeguard their IP by clearly differentiating between customer data and the SaaS provider’s intellectual property.

  • Importance of licensing terms: Licensing terms were discussed, emphasising the need to define usage rights, restrictions and the type of licences granted.

3. Other essential legal documents for SaaS products:

  • Service Level Agreements (SLAs): SLAs were highlighted as a crucial element in defining performance standards, uptime guarantees, support response times and service credit regimes.

  • End User Licence Agreements (EULAs): Our experts explained the role of EULAs in setting terms for end users and how they work alongside SaaS agreements.

  • Data Processing Agreements (DPAs): The importance of DPAs, especially under UK GDPR, was discussed, particularly for SaaS providers who handle customers’ personal data.

4. Additional IP protection strategies:

  • Registering IP: Registering trademarks with the UK Intellectual Property Office was recommended as a key step to protect brand names, logos, and unique product names.

  • Employee and freelancer contracts: The need for clear IP ownership terms in contracts with employees and freelancers was highlighted to avoid any ambiguity.

  • Utilising NDAs: Using non-disclosure agreements when discussing sensitive information with contractors or partners was advised to prevent unauthorised disclosure.
